Important Trading Warning
Trading is speculative. You can lose some or all trading assets, and automation can repeat a mistake faster than manual trading.
ZENITH does not control markets or Trading Venues. You must monitor each connected account and keep independent access to stop strategies, verify orders and positions, close positions, and revoke API credentials.
1. Agreement And Eligibility
These Terms are an agreement between you and ZENITH Trader, LLC ("ZENITH," "we," or "us"). They include the Trading and Automation Risk Disclosure and Acceptable Use Rules below, plus any order form or document that expressly says it is part of the agreement.
You accept the agreement when you click an acceptance control, sign an order form, or enable live trading after the Terms are presented. If you accept for an organization, you confirm that you can bind it. If you do not agree, do not use ZENITH.
You may use ZENITH only if you are at least 18 and old enough to enter a binding contract where you live; can lawfully use ZENITH and each connected Trading Venue; and are not prohibited by applicable sanctions, export controls, or other law. You are responsible for deciding whether your trading and use of ZENITH are lawful.

2. ZENITH's Role
ZENITH is non-custodial software that lets you configure, test, monitor, and run trading strategies and send instructions to independent exchanges, brokers, decentralized protocols, wallets, data providers, and other connected services ("Trading Venues").
ZENITH does not act as your broker, exchange, custodian, counterparty, investment adviser, commodity trading adviser, or fiduciary. ZENITH does not hold user assets or private keys, pool funds, provide credit, guarantee settlement, or exercise individualized discretion over your account.
Templates, defaults, indicators, examples, generated text, market data, and support responses are tools and general information, not personalized investment, legal, or tax advice. A supported venue, asset, feature, or order type is not an endorsement or a promise that it is lawful, suitable, solvent, or available to you.
3. Account, License And Acceptable Use
Keep account information accurate and protect your email, devices, passwords, sessions, and API credentials. Use least-privilege API keys and do not provide withdrawal access unless a separately documented ZENITH feature expressly requires it. Tell us promptly about suspected account compromise and revoke affected keys at the Trading Venue.
While your account is active, ZENITH gives you a limited, personal, revocable, non-exclusive, non-transferable right to use the service as intended. ZENITH and its licensors keep all rights in the service. You keep rights in your data and strategy configurations and give ZENITH permission to process them only as needed to provide, secure, support, improve, and enforce the service or comply with law.
You must not use ZENITH to:
- Break law, sanctions, a court order, a market rule, or a Trading Venue rule.
- Manipulate or attempt to manipulate a market, including through spoofing, layering, wash trading, abusive self-trading, misleading signals, or false trading activity.
- Access an account without authority; trade for others; manage pooled or third-party assets; or offer a managed-account service unless ZENITH approves it in writing and all required permissions are in place.
- Evade geographic, account, subscription, security, product, or rate restrictions, or provide false compliance information.
- Scrape, reverse engineer, probe, overload, copy, resell, introduce malware, evade controls, or interfere with ZENITH or another person, except where a right cannot lawfully be restricted.
ZENITH may investigate suspected violations, preserve relevant records, restrict access, and make reports or disclosures when required or permitted by law.
4. Automation, Orders And Venue Records
You choose the account, products, strategy rules, triggers, order types, quantities, timing, exposure, and leverage. By enabling a strategy or manual action, you authorize ZENITH to generate and send the corresponding instructions until you disable it, revoke the connection, it expires, or ZENITH suspends it.
- Submitted does not mean accepted or executed.
- A timeout, disconnect, or error may leave an order's status unknown. The order may still have executed, and a retry may create a duplicate.
- A cancellation is not effective until the Trading Venue confirms it. An order may fill before or after a cancellation request.
- Direct venue activity, another strategy or application, or a venue liquidation can conflict with ZENITH's expected state.
The Trading Venue's records control for orders, fills, positions, and balances. When ZENITH shows an error, stale data, or an unknown status, verify the account directly before taking another action or restarting automation.
5. Trading And Automation Risk Disclosure
No disclosure can list every risk. Important risks include:
- Prices, liquidity, spreads, slippage, gaps, fees, funding, borrowing, and taxes can reduce returns or cause total loss. Leverage and derivatives can cause liquidation or losses beyond posted collateral where applicable.
- A wrong symbol, side, amount, decimal, trigger, recurrence rule, account, or leverage setting can create repeated trades or exposure far larger than intended.
- Indicators, models, optimization, artificial intelligence, backtests, simulations, and forecasts can be wrong, overfit, incomplete, or unreliable. Past or hypothetical results do not predict future results.
- Prices, balances, positions, candles, reference rates, and portfolio values can be delayed, stale, duplicated, incomplete, incorrectly mapped, unavailable, or corrected later.
- Trading Venues can reject orders, impose rate limits, change APIs or rules, suspend trading, delist assets, restrict accounts, suffer outages or cyber incidents, or become insolvent.
- Digital assets and decentralized systems can involve forks, reorganization, congestion, smart-contract or bridge failures, oracle manipulation, abnormal fees, and irreversible transactions.
- Credentials can be compromised. Stops, limits, stale-data checks, alerts, exposure caps, and kill switches can fail, be delayed, be misconfigured, or depend on an unavailable venue.
By accepting this disclosure, you confirm that you understand these risks, can lose some or all trading assets, and remain responsible for monitoring and controlling your Trading Venue accounts.
6. Fees, Renewal, Cancellation And Refunds
The purchase page or order form states the price, billing period, renewal, trial, usage, cancellation, and tax terms that apply. Paid subscriptions may renew automatically until canceled.
ZENITH uses Stripe to process payments and provide checkout and billing-portal features. Stripe does not set ZENITH's refund policy. You can use the billing portal, or the support channel shown in ZENITH, to manage an eligible subscription and cancel future renewals. Unless the purchase terms or law say otherwise, cancellation takes effect at the end of the current paid period.
Fees already paid are non-refundable and are not prorated, except where law requires a refund, the purchase terms expressly allow one, or ZENITH approves a duplicate charge or billing error. Venue, network, financing, currency-conversion, banking, and tax costs are separate and are your responsibility.
ZENITH may change prices on advance notice. A price increase applies no earlier than your next renewal, and you may cancel before it takes effect.
7. Service Changes, Suspension And Closure
ZENITH may add, change, limit, suspend, or remove features, Trading Venue support, data sources, or usage limits, including during a paid period, when reasonably needed for security, legal, technical, operational, or third-party reasons. Where law requires, ZENITH will provide notice or a remedy. We do not promise that every feature or integration will remain available.
ZENITH may suspend or terminate access to address a security threat, unauthorized access, market abuse, illegal activity, sanctions risk, material breach, non-payment, harmful load, a Trading Venue requirement, or risk to users, systems, or markets. You may stop using ZENITH and close your account at any time, subject to outstanding payment obligations.
Before closure, disable strategies, verify and manage open orders and positions, export records you need, and revoke API credentials at each Trading Venue. Suspending or closing ZENITH does not itself cancel venue orders or close positions. Terms that by their nature should continue after closure, including ownership, payment, disclaimers, liability limits, indemnity, and dispute terms, will continue.
8. Disclaimers, Liability And Indemnity
ZENITH is provided "as is" and "as available." To the maximum extent allowed by law, ZENITH disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free, secure, profitable, or compatible with every Trading Venue.
You bear losses caused by markets, your strategy or settings, insufficient collateral, compromised credentials, a Trading Venue or third party, external data, a blockchain or protocol, taxes, or fees, except to the extent ZENITH's breach caused the loss and applicable law provides a remedy.
To the maximum extent allowed by law, ZENITH and its affiliates, personnel, and service providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, opportunity, goodwill, or data, even if advised that they were possible.
To the maximum extent allowed by law, ZENITH Trader, LLC's total liability arising from the agreement or service will not exceed the greater of USD 100 or the amount you paid ZENITH for the affected service in the 12 months before the event giving rise to the claim. This limit does not apply where liability cannot lawfully be limited.
If you use ZENITH for business, you will defend and indemnify ZENITH and its personnel against third-party claims, regulatory demands, losses, and reasonable costs arising from your unlawful or manipulative activity, unauthorized third-party account management, infringement of third-party rights, materially false compliance information, or material breach of the Acceptable Use Rules.
9. Governing Law, Changes And General Terms
Delaware law governs the agreement and related non-contractual disputes, without regard to conflict-of-law rules. State and federal courts in Delaware have jurisdiction. Mandatory consumer rights, regulator complaint rights, and remedies that cannot lawfully be restricted still apply.
ZENITH may update the agreement for legal, security, product, third-party, or operational reasons. We will post the current version and give reasonable advance notice of a material adverse change when required by law or reasonably practicable. If law requires affirmative consent, we will ask for it. Otherwise, continued use after the effective date means acceptance.
The agreement is the entire agreement about ZENITH and replaces earlier statements on that subject. An order form controls only where it expressly conflicts with these Terms. If a provision is unenforceable, it will be limited as little as necessary and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign the agreement without ZENITH's written consent; ZENITH may assign it as part of a merger, financing, reorganization, or sale of relevant assets.
ZENITH is not responsible for delay or failure caused by events beyond its reasonable control. Notices may be delivered to your account email, in ZENITH, or by another durable electronic method. Electronic records and signatures may be used.
